1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of https://couturescorner.com (the "Site") and your wholesale purchase of Stylr jewelry and related products from us. In these Terms, "Couture's Corner", "we", "us", and "our" refer to NOIQUE CO. LLC, 1942 Broadway St., STE 314C, Boulder, Colorado 80302, USA, operating the wholesale channel for the Stylr jewelry brand, and "you", "buyer", or "stockist" refers to the business accessing the Site or placing a wholesale order.
Couture's Corner is a business-to-business (B2B) wholesale operation. We sell at wholesale to retailers, boutiques, salons, and permanent-jewelry artists who buy for resale. The Site and these Terms are intended for trade buyers only and are not an offer of consumer sale. The consumer-facing Stylr brand operates separately at stylr.us; these Terms do not govern consumer purchases made there.
By browsing the Site, requesting a wholesale account or line sheet, ordering through our Faire storefront, or ordering directly by email, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site or place a wholesale order.
These Terms incorporate by reference our Privacy Policy, our Wholesale Returns Policy, and our Shipping Policy, each published on the Site. Together with any order confirmation, wholesale account setup, or line sheet we provide, and with any applicable terms of the Faire marketplace where you order through it, these documents form the agreement between you and us regarding your wholesale relationship. If there is a conflict between these Terms and any incorporated policy, these Terms control unless the specific policy expressly states otherwise.
2. Wholesale Eligibility & Accounts
Wholesale purchasing is available only to bona fide businesses buying Stylr products for resale in the ordinary course of their trade, such as retailers, boutiques, salons, and permanent-jewelry artists. By requesting a wholesale account or placing a wholesale order, you represent and warrant that you are an authorized representative of such a business, that you have the legal capacity and authority to enter into a binding contract on its behalf, and that you are purchasing for resale and not as an end consumer.
You agree to provide accurate, current, and complete business information when you open a wholesale account or order, including your legal business name, contact details, and, where we request it, resale or sales-tax credentials and any other documentation reasonably needed to verify that you qualify as a trade buyer. You are responsible for keeping this information current and for promptly notifying us of any changes, including changes to your resale or tax status.
You are responsible for maintaining the confidentiality of any account credentials used to access our Site, our Faire storefront, or other ordering channels, and for all activity that occurs under your account. Please notify us promptly at [email protected] if you suspect any unauthorized use of your account. We may decline, suspend, or close a wholesale account, or refuse or cancel orders, where we reasonably believe an eligibility requirement is not met, where required information is inaccurate or out of date, or where these Terms have been violated.
3. Orders, Minimums & Acceptance
When you submit a wholesale order, whether through our Faire storefront or directly by emailing [email protected], you are making an offer to purchase the selected products subject to these Terms. An acknowledgement that we have received your order does not by itself constitute acceptance. A binding contract is formed only when we accept your order, whether by confirming and processing it through Faire, by sending a separate acceptance, or by dispatching the goods.
We keep opening minimums low so that small shops can start stocking the line easily, and mixed-category orders are allowed. Current product assortments, opening-order requirements, and any reorder details are set out in our wholesale line sheet and on our Faire storefront. We reserve the right to accept, decline, or limit any order, in whole or in part, for any lawful reason. This includes, without limitation, suspected fraud or unauthorized payment, inability to verify your business or resale status, pricing or product errors, or stock availability. We may cancel an accepted order at any time before shipment; if payment has already been taken for a cancelled order, we will refund the amount charged through the original method or channel. We may also limit quantities available per buyer, per order, or per item.
4. Pricing & Payment
All wholesale prices are quoted in US Dollars (USD) and are exclusive of any applicable shipping charges, taxes, duties, or other fees unless expressly stated otherwise. Wholesale pricing is set out in our current line sheet and on our Faire storefront, and applies in place of any consumer-facing pricing shown for the Stylr brand elsewhere.
Prices, assortments, and availability may change from time to time without notice, and the prices that apply to an order are those in effect on our current line sheet or Faire storefront when we accept that order. Despite our best efforts, an item may occasionally be mispriced or contain a typographical error in its description or specifications. We reserve the right to correct any such errors and, where a price was clearly incorrect, to cancel or re-confirm the affected order before shipment.
Payment terms are arranged at the time of wholesale account setup or are governed by the terms of the Faire marketplace where you order through it, including Faire's payment, financing, and settlement arrangements. New stockists ordering through our Faire storefront may be eligible for Faire Direct first-order perks, which can include commission-free terms, an opening-order discount, and free shipping; eligibility and the details of those perks are determined by Faire's then-current program. 5. Resale, Taxes & Compliance
As a wholesale buyer, you purchase products for resale and resell them in your own name and on your own account. You are an independent business and not our agent, partner, employee, or franchisee, and nothing in these Terms creates any such relationship or any exclusive territory or dealership unless we agree otherwise in writing.
You are solely responsible for setting your own retail prices and for all aspects of your resale business, including collecting and remitting any applicable sales, use, or other taxes; maintaining valid resale or tax-exemption credentials where required; and complying with all laws and regulations that apply to importing, marketing, labeling, and selling the products in your market. Where you resell across borders, you are responsible for any import duties, customs requirements, and product-compliance obligations in the destination market.
You are responsible for your own customer service to the end consumers you sell to, including handling their inquiries, sales, and returns under your own store policies. Where the products carry our 1-Year Color Warranty, you may pass that warranty through to your customers as described in these Terms, but you remain responsible for how you communicate and administer it within your own business.
6. Shipping, Title & Risk of Loss
Wholesale orders ship from the United States (Colorado). Processing and transit times are confirmed at the time of order and may vary with order size, destination, and carrier conditions. Tracking is provided once an order ships, where available.
For international wholesale orders, any import duties, taxes, customs fees, or brokerage charges are your responsibility unless we expressly agree otherwise in writing, and are not included in the product price or any shipping charge unless stated. You are responsible for ensuring that the products may lawfully be imported into and resold in your market.
Title to and risk of loss for the products pass to you as set out in our Shipping Policy, which is incorporated into these Terms. Delivery estimates are provided in good faith but are not guaranteed, because transit times depend on carriers and, for international shipments, on customs clearance. Please refer to the Shipping Policy for full details on shipment, tracking, and the point at which risk passes.
7. Returns, Defects & the 1-Year Color Warranty
Because these are wholesale purchases bought for resale, orders are generally final. We do not offer wholesale returns or exchanges for change of mind, over-ordering, or ordinary slow-selling stock.
We stand behind the goods we ship. If an item arrives damaged, defective, or incorrect compared with your accepted order, we will work with you to make it right through replacement or another appropriate remedy. To be eligible, you must notify us promptly after receiving the shipment and provide reasonable supporting detail, such as photos and your order reference. Please contact [email protected] to start a claim. The handling of returns, defects, and incorrect shipments is described more fully in our Wholesale Returns Policy, which is incorporated into these Terms.
The Stylr line is backed by a 1-Year Color Warranty: if a piece tarnishes or fades under normal wear within 12 months, it qualifies for replacement. The warranty does not cover damage from harsh chemicals, accidents, misuse, or ordinary wear and tear beyond color. This warranty is designed to be passed through to your own customers, so your shoppers can buy with confidence. You are responsible for accurately representing the warranty's scope and exclusions to your customers and for administering pass-through claims within your own business, in coordination with us where a replacement is needed.
8. Product Information & No Resale Misrepresentation
The Stylr jewelry we wholesale is built on 316L surgical (implant-grade) stainless steel, with gold-tone pieces finished in a hard 18k-gold PVD coating (physical vapor deposition, far more durable than ordinary electroplating). The range includes rings, necklaces, earrings (studs and huggies), bracelets, charms, chains, and permanent-jewelry supplies. The pieces are waterproof, tarnish-resistant, and will not turn skin green, as there is no reactive copper in the construction.
When you market and resell the products, you agree to describe them accurately and not to misrepresent their materials or properties. In particular, the gold-tone pieces are gold-PLATED steel; they are not solid gold and not gold vermeil, and you must not describe or sell them as such. The jewelry is hypoallergenic and low in nickel release (the 316L steel releases nickel below EU REACH / EN1811 limits), but it is not nickel-free, because 316L stainless steel contains roughly 10 to 14 percent nickel. You must not advertise the products as nickel-free. Customers with a confirmed nickel allergy are safest in titanium or niobium, and you should not represent the products as suitable for a confirmed nickel allergy.
You agree not to make any representation, warranty, or claim about the products beyond what we publish or expressly authorize, and to communicate the 1-Year Color Warranty accurately, including its exclusions. You are responsible for ensuring your own product listings, packaging, and marketing comply with applicable advertising and consumer-protection laws.
9. Brand & Intellectual Property
All content on the Site, including text, product descriptions, photographs, graphics, logos, and the compilation of that content, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. The "Couture's Corner" and "Stylr" names and associated branding are trademarks of their respective owners and remain their property.
Provided your wholesale account is in good standing, we grant you a limited, non-exclusive, non-transferable, revocable permission to use the Stylr and Couture's Corner names and our approved product images solely to market and resell the genuine products you have purchased from us. You agree to use that branding and those images only in connection with the authentic Stylr products you stock, and to present them in a manner that is accurate and not misleading.
You may not alter, modify, or create derivative works from our logos, images, or other branded materials; remove or obscure any trademark or notice; or register or attempt to register any of our names, marks, domain names, social handles, or anything confusingly similar. This permission does not transfer any ownership and may be revoked or modified at any time, including on closure of your wholesale account. Any third-party trademarks remain the property of their respective owners.
10. Acceptable Use
You agree to use the Site and our ordering channels only for lawful wholesale purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. In particular, you agree that you will not:
- place orders other than as a bona fide business buying for resale, or misrepresent your business, resale status, or tax credentials;
- submit false, inaccurate, or misleading information, or use another party's payment details or account without authorization;
- misrepresent the products to your own customers, including any false claim that the gold-tone pieces are solid gold or that the jewelry is nickel-free;
- attempt to gain unauthorized access to the Site, our systems, accounts, or networks, or interfere with their security or operation;
- introduce viruses, malware, or other harmful code, or use bots, scrapers, or automated tools to access, copy, or monitor the Site or our line sheet without our permission; or
- use the Site, the products, or our branding for any fraudulent, unlawful, or unauthorized purpose.
We may investigate and take appropriate action, including cancelling orders, suspending or closing wholesale accounts, withdrawing branding permission, or pursuing legal remedies, against anyone who violates this section.
11. Disclaimers & Warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties relating to the Site, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that the Site will be uninterrupted, secure, or error-free or that its content is always accurate, complete, or current.
With respect to the products, the express warranty we provide is the 1-Year Color Warranty described in these Terms, under which products that tarnish or fade under normal wear within 12 months qualify for replacement, subject to its stated exclusions. Except for that warranty and any rights that cannot lawfully be excluded, the products are otherwise provided "as is", and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
The waterproof, hypoallergenic, low-nickel-release, and tarnish-resistant characteristics of the products depend on proper use and care, and you are responsible for representing them accurately to your customers, including the honest nuances set out in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
To the fullest extent permitted by law, in no event will Couture's Corner or NOIQUE CO. LLC, or our owners, employees, suppliers, manufacturing partners, or service providers, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, data, goodwill, or anticipated savings, arising out of or relating to your use of the Site, your wholesale relationship with us, or any products purchased from us, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Site, these Terms, or any product is limited to the amount you actually paid to us for the product or order giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in such cases, our liability is limited to the smallest extent permitted by applicable law, and nothing in these Terms limits any liability that cannot lawfully be limited or excluded.
13. Indemnification
You agree to indemnify, defend, and hold harmless Couture's Corner and NOIQUE CO. LLC, and our owners, employees, suppliers, manufacturing partners, and service providers, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms or any policy incorporated by reference; (b) your resale, marketing, labeling, or handling of the products, including any misrepresentation of their materials, properties, or warranty to your customers; (c) your violation of any law or the rights of any third party, including tax, import, advertising, and consumer-protection obligations; or (d) your customer service, store policies, or other dealings with the end consumers you sell to.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.
14. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them, the Site, or your wholesale purchases, are governed by and construed in accordance with the laws of the State of Colorado and the United States, without regard to conflict-of-law principles.
Before initiating any formal proceedings, we encourage you to contact us first at [email protected] so we can try to resolve your concern informally and in good faith. Most issues between trade partners can be settled quickly this way.
If a dispute cannot be resolved informally, you agree that it will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and you consent to the personal jurisdiction of those courts, except where applicable mandatory law provides otherwise. Any claim must be brought on an individual basis and not as part of a class or representative action, to the extent permitted by law.
15. Changes to These Terms
We may update or modify these Terms from time to time to reflect changes in our wholesale practices, our products, or applicable law. When we make changes, we will post the revised Terms on this page.
Changes take effect when posted. Your continued use of the Site, or your placement of a wholesale order, after the revised Terms are posted constitutes your acceptance of them. We encourage you to review these Terms periodically. Each order is governed by the version of the Terms in effect at the time we accept that order.
